#### 1. Preamble
These Terms and Conditions (hereinafter referred to as "Agreement") constitute a legally binding agreement made between Just Locum ("JL") and you, whether personally or on behalf of an entity ("you"). This Agreement governs your use of the JL online platform (the "Platform"), designed to facilitate temporary staffing arrangements by connecting dental professional staff with dental practices (collectively, the "Services").
#### 2. Provision of Services
JL operates as an online intermediary platform, hereby facilitating connections between freelance dental professionals (including, but not limited to, dental nurses, dental hygienists, etc.) and dental practices seeking temporary staff (hereinafter referred to as "Hiring Parties"). JL's role is strictly limited to facilitating transactions between dental professionals and Hiring Parties. JL explicitly disclaims any responsibility for the actual transaction between users of the Platform. Notwithstanding the foregoing, JL does not engage in the storage or processing of sensitive banking and credit card information. All payment transactions are processed externally and exclusively through Stripe.
#### 3. Limitation of Liability
JL expressly disclaims any liability for the credentials, conduct, or the overall professional quality of the users registered on the Platform, be it dental professionals or Hiring Parties. Users of the Platform bear the sole responsibility for conducting necessary due diligence and verifying the credentials, qualifications, and suitability of other users they opt to engage with pursuant to the provisions of this Agreement.
#### 4. Terms Specific to Hiring Parties
The minimum engagement period for staff hired through the Platform is stipulated as six (6) hours. Engagements falling below this duration will nonetheless incur charges equivalent to six (6) hours of service. In the event of cancellation of a booking by a Hiring Party less than twenty-four (24) hours prior to the scheduled commencement, a cancellation fee equivalent to the current number of minimum hours of service will be levied. Hiring Parties are obligated to ascertain the veracity and validity of all documentation pertaining to staff hired through the Platform. Access to such documentation shall be provided subsequent to the confirmation of each booking. Hiring Parties must furnish dental professionals with a booking signature code upon the culmination of the service period, and no later than thirty (30) calendar days post service delivery. Non-compliance shall be deemed as abandonment of the booking, incurring a charge equivalent to nine (9) hours of service. Should the abandoned booking remain unresolved at the conclusion of the thirty (30) day period, JL shall proceed to automatically close the booking in favour of the employer. Under these circumstances, the staff member shall not be entitled to a compensation, regardless of the initially agreed duration of the booking. This measure is implemented to safeguard the financial interests of the hiring company against non-compliance by staff members. JL levies a booking fee, amounting to twenty percent (20%) of the total booking fee, for services facilitated through the Platform.
#### 5. Terms Specific to Staff
Staff members are mandated to comply with all pertinent regulations, maintain valid registrations (GDC, indemnity, DBS certificate, valid photo ID), and possess a bank account in good standing for the purpose of receiving weekly remunerations. Staff members are engaged on a freelance basis and are classified as independent contractors, not as employees of the Hiring Parties or JL. Consequently, there exists no contract of employment between the staff member and either the Hiring Parties or JL. The role of JL is confined to facilitating connections between staff members and Hiring Parties for locum positions. Staff members, acting as independent contractors, are solely responsible for their own tax obligations and are expected to maintain current and valid registration documents. Staff members are responsible for their own transportation arrangements to and from the location of service. Neither JL nor the Hiring Parties shall bear any transportation-related costs. Staff members are required to perform duties as stipulated by the Hiring Parties within the scope of their professional practice. In instances where a Hiring Party fails to provide the requisite booking signature code within a thirty (30) calendar day timeframe, JL reserves the right to deem the booking as abandoned, resulting in the issuance of remuneration equivalent to eight (6) hours of service to the affected staff member. Staff members shall receive their remuneration within a period not exceeding seven (7) calendar days subsequent to the successful settlement of the booking fee by the Hiring Party. This stipulation is to ensure a timely and efficient disbursement of funds owed for services rendered by the staff member. The aforementioned timeframe commences immediately following the confirmation of payment receipt from the Hiring Party to JL.
#### 6. Clause on Staff Obligations and Remuneration for Incomplete Bookings
This provision unequivocally stipulates that in order for a staff member, engaged through JL, to be eligible for remuneration, the staff member must fulfill the obligations of the booking in its entirety on the designated day of the booking. The completion of the booking encompasses the performance of all duties as stipulated in the agreement with the Hiring Party and adherence to the professional standards expected. It is imperative that the staff member meets these obligations to qualify for remuneration. In the event that a staff member fails to complete the booking on the assigned day, and subsequently receives the booking signature code from the Hiring Party within a thirty (30) day period, it is incumbent upon the staff member to duly complete the booking process within this timeframe. Should the staff member neglect or fail to complete the booking process within the said thirty (30) day period subsequent to receiving the booking passcode, it shall be construed as a breach of the terms of engagement. Accordingly, the staff member shall forfeit the right to remuneration for that particular booking. The forfeiture of remuneration under the aforementioned circumstances shall be considered final and binding. No claims or demands for payment related to such an incomplete booking shall be entertained by JL post the expiry of the thirty (30) day period. JL shall provide necessary facilitation to ensure that the staff member is notified of the receipt of the booking signature code from the Hiring Party. However, the responsibility of completing the booking within the stipulated timeframe rests solely with the staff member.
##### 7. Acknowledgment and Consent to Receive Communications
By agreeing to the Terms and Conditions set forth by JL, all users, encompassing both service providers, hereby irrevocably acknowledge and consent to receive essential and mandatory communications from JL. These communications are pertinent to, and encompass, but are not limited to, the status of the users' profiles, the status of their bookings, and notifications related to payments. The term 'mandatory communications' shall include, but not be limited to, electronic mail, text messages, in-platform notifications, and other digital forms of communication as deemed appropriate and efficient by JL. These communications are integral to the functionality and efficacy of the Platform and are necessary for the smooth operation of the services provided.The communications will primarily encompass informational content regarding: Updates or changes in the status of the user profiles, including but not limited to, verification status, profile completeness, and compliance with platform policies. Notifications concerning booking status, including confirmations, modifications, cancellations, reminders, and any pertinent changes thereto.
Payment notifications including invoices, payment confirmations, discrepancies in payment, and any other relevant financial communication. Users are responsible for ensuring that their contact information is current and accurate in their JL profile to facilitate uninterrupted communication. Non-receipt of communications due to outdated or incorrect contact information shall not absolve users of their responsibilities and obligations under the terms of their engagement with JL. Users shall not have the option to opt-out of receiving such mandatory communications as they are integral to the user’s engagement with the Platform and its services. However, users may opt-out of non-mandatory communications such as job notifications.
#### 8. Privacy Policy
JL is committed to protecting the privacy and security of the personal information of its users. Personal information, including, but not limited to, email addresses, telephone numbers, and postcodes, is collected solely for the purpose of facilitating the Services offered by the Platform. JL will implement appropriate security measures to ensure the confidentiality and integrity of the personal information collected. Such information will not be shared with third parties except as necessary to provide the Services or as required by law. Users have the right to access, correct, or delete their personal information held by JL. Requests for such actions should be directed to the contact information provided on the Platform.
#### 9. Miscellaneous Provisions
JL reserves the right to modify the terms of this Agreement at any time. It is incumbent upon users to remain apprised of any such modifications. Usage of the Platform constitutes an unambiguous declaration of the user's understanding, acceptance, and agreement to be bound by the terms of this Agreement and any prevailing legal statutes.
#### 10. Communication
For queries or resolution of disputes in connection with the Services, users are directed to contact Just Locum through the designated communication channels as provided on the Platform.
Your engagement with the Just Locum Platform signifies your irrevocable acknowledgement and consent to abide by the terms delineated in this Agreement.
